Since the MoPeG, termination by or death of a partner leads to the partner's withdrawal, not to dissolution – old GbR agreements should be reviewed.

Majority resolutions require an express provision in the partnership agreement; procedural rules on notice, quorum and minutes should be added.

§ 720(3) BGB: Limitations of the liability of GbR partners vis-à-vis third parties are ineffective – even if the contracting party is aware of them.
