Registering a Limited Partnership (KG) in the Commercial Register: The Sequence Matters

For a limited partnership (Kommanditgesellschaft, KG) to be registered in the commercial register (Handelsregister), its general partner (Komplementärin) – if it is itself subject to registration – must already have been registered in the commercial register beforehand.

In practice, the registration of a KG often fails not for substantive reasons but because of formal errors in the formation process. If the KG is filed for registration before the general partner has been registered, the application is generally rejected. This leads to avoidable delays and additional costs.

This is particularly relevant for the widespread GmbH & Co. KG. Here it is essential to ensure that the GmbH is first formed and registered in the commercial register as the general partner before the KG itself is filed for registration.

The timing of registration also has considerable significance in terms of liability. A carefully coordinated sequence of formation is therefore indispensable in order to avoid liability risks and to ensure swift registration.
