The Business Judgement Rule protects managing directors and board members from personal liability for entrepreneurial decisions – provided they act on the basis of adequate information and for the benefit of the company. What matters is not whether a decision proves to be right in hindsight, but whether it was justifiable at the time it was taken.

Precisely in dynamic corporate situations, decisions often have to be taken under uncertainty and time pressure. Without the protection of the Business Judgement Rule, this would lead to excessive caution and tangible competitive disadvantages.

What is decisive is therefore clean documentation of the basis for the decision. Those who proceed in a structured manner minimise liability risks and at the same time create the foundation for sustainable corporate success.
