The Registered Office of the Partnership Under the MoPeG
Updated: Sep 24
The registered office of a company is of central importance for its participation in legal and business dealings. In particular, it determines the local jurisdiction of the courts and creates legal certainty for partners and third parties.
With the entry into force of the Act to Modernise the Law on Partnerships (MoPeG) on 1 January 2024, the law on the registered office was fundamentally liberalised. Partners can now determine a contractual registered office (Vertragssitz) that may differ from the place where the business of the partnership is conducted.
In the absence of a contractually agreed registered office, the administrative seat (Verwaltungssitz) automatically counts as the registered office of the partnership. The prerequisites for choosing the registered office are that the contractual registered office (i) is stipulated in the partnership agreement, (ii) is located in Germany and (iii) is entered in the commercial register.
