Marcus Römer advises national and international companies with a focus on M&A transactions and commercial and corporate law. As a Certified Legal Expert in Commercial & Corporate Law and an Attorney at Law admitted in New York, he combines German and U.S. legal practice – from structuring the acquisition and conducting due diligence to drafting and negotiating contracts in German and English.

 

Areas of Practice

• M&A / Transactions: support for national and cross-border company acquisitions and sales (share deals and asset deals), including majority and minority shareholdings; structuring and management of the transaction process, coordination of (legal) due diligence, drafting and negotiation of the entire transaction documentation through signing and closing; particular focus on medium-sized companies and corporate groups, frequently involving existing U.S. holdings or U.S. group companies.

• Commercial and Corporate Law: articles of association and shareholder agreements, shareholder disputes, advisory and supervisory board matters, cooperation agreements and joint ventures (including cross-border), as well as drafting and negotiation of global purchasing agreements and framework supply agreements.

• U.S. Law / German-American Business Law: U.S. market entry, company formation, product liability, bilingual contract drafting (German/English).

• Distribution Law: national and international distribution and commercial agency agreements.

• Additionally: arbitration, civil procedure, compliance.

• Admission to the U.S. Supreme Court and the U.S. Court of Appeals for the Federal Circuit, 2010.
